End-User License Agreement

Licensor: erpos s.r.l, ("erpos")
Software Products: object of this agreement, the erpos software products and any accompanying items (including documentation or manuals), grouped as an item or a selection of components or any authorization keys and passwords ("Software")

This is a legal agreement (and not a contract for selling) between you, the "End-User" and erpos.

The agreement is effective
BY INSTALLING THE SOFTWARE AND ACCEPTING THE LICENCE AGREEMENT ("AGREEMENT"), YOU AGREE WITH THE TERMS LISTED BELOW. IF YOU DO NOT AGREE TO THE TERMS OF AGREEMENT, PLEASE DO NOT INSTALL, USE AND/OR COPY THIS SOFTWARE. YOU HAVE TO UNINSTALL AND DELETE IT.

I. LICENSE TERMS AND CONDITIONS

I. Grant of License
This Agreement permits you to install and use one copy of the Software acquired with a license on any single computer, provided in any way, nontransferable and used together with the accompanying items (including documentation and manuals). Depending on your license type you can grant permit to install on more computers or on a network. This must be specified on your license certificate (if available).

The license granted herein is valid even if You purchase through a reseller, partner but you have to accept the Agreement.

II. Copyright
The Software is owned by erpos or its licensors and is protected by copyright laws; some elements could be protected by international laws. All the rights, intellectual properties, ownership and copyrights of this Software and any copy of these will remain the proprietary of erpos. Unauthorized copies of the Software, or non-observance License Agreement, will lead to cancel the license.

Some of the Software products that are object of this agreement may contain redistributable update packages of Microsoft Corporation. The license granted to you hereunder is a non-exclusive, royalty-free, non-transferable, non-assignable, revocable, limited, fully paid-up license to use and reproduce the Redistributable Software Component solely for your personal and internal business operations. With installing those components to your system you agree that you own a validly licensed copy of the Licensed Product for which the Redistributable Software Component applies. All other provisions of this agreement also apply to Microsoft Redistributable Software Components.

Some of the Software products can be used only together with third party solutions, like database engines In this case the Client is responsible to procure a license for the database engine (if it is necessary), if it is not expressly specified by erpos. Other license agreements from third party authors, like Microsoft, must be accepted in order to use the Software. In no event shall erpos or its licensors be liable for any other damages whatsoever (including, without limitation, damages for loss of business profits, interruption, loss of information or other pecuniary loss) arising out of the use of or inability to use the Software. Erpos does not respond for damages caused by using third party solutions, if its license agreement was not accepted by the client, in these case the client is fully responsible.

III. Rights and Limitations
As an End-User you have the right to:
a.) install the Software on a single computer, with the exception when it is specified in other way, or it is express specified in other way by the license certificate(if available);
b.) to create only one (1) backup copy of the Software installation kit on any read-only support for protection purposes, containing all the accompanying items;
c.) physical transfer from one computer to another, if as the end of the process you will have on only one computer (if your license permit this and it was not raised on a specified hardware fingerprint);

As an End-User you do not have the right to:
a.) to use on more than one computer, in a network or on a system with more users, with the exception when this was specified in license certificate (if available);
b.) to modify, transform, decompile, disassembly, hack or copy - exception one copy as safety reason - the Software or the accompanying items;
c.) rent, hire or sub-license any right of using of the Software in any format for any person without a written permission or under a valid contract from erpos;
d.) to detach any note of proprietary, rights, labels or signs of the Software.

IV. Updates and Upgrades
You will have the opportunity to maintain the Software by means of Updates and Upgrades.
An "Update" is a new release of the existing Software (mainly with minor changes) and is provided to you free of charge by erpos (if it is not specified in other way). An "Upgrade" is a major functional enhancement to the Software that you can purchase or cover through a Maintenance Agreement. If you decide to install an Update; the terms of this Agreement will apply to such Update. If you purchase an Upgrade, your rights to install and use the Software will be limited to either the originally purchased version of the Software or the Upgrade, but not both, in accordance with the terms of this Agreement. For the avoidance of doubt, this Agreement permits you to install and use only one version (either the original version or the Upgrade if it is not specified in other way) of the Software at any one time and you agree not to use, transfer or permit any third party to use the version that you have not installed.

V. Duration of the agreement
The agreement is valid for an undefined period of time on full purchase or it could be covered for a predefined terms or until you purchase an attached service to it (maintenance, SaS - software as service). In case of intentional violation of any obligation stipulated in this agreement by the End User, erpos is entitled to terminate this Agreement extraordinarily and immediately by revoking your license without any refund.

II. DISCLAIMER
THE SOFTWARE IS DESIGNED TO BE USED FOR ITS PURPOSE AND IS BEING PROVIDED "AS IS." ERPOS DISCLAIM ALL OTHER WARRANTIES, CONDITIONS AND REPRESENTATIONS, EXPRESS, IMPLIED OR STATUTORY, INCLUDING THOSE RELATED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, ACCURACY OR COMPLETENESS OF RESULTS, CONFORMANCE WITH DESCRIPTION, AND NON-INFRINGEMENT. USING SOFTWARE YOU CAN VIOLATE COPYRIGHT LAWS AND BE SUBJECT TO PAYMENT OF DAMAGES. IF YOU ARE NOT SURE ABOUT YOUR RIGHTS, YOU SHOULD CONTACT YOUR LEGAL ADVISOR FOR ADVICE. YOU ASSUME FULL RESPONSIBILITY FOR THE LEGAL AND RESPONSIBLE USE OF THE SOFTWARE.
